5. Project Agreements

All service engagements require a written agreement (contract or SOW) that outlines:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Revision and change request procedures
  • Confidentiality and NDA provisions

These Terms are supplementary to, and do not override, the specific terms of individual project agreements.

6. Payment Terms

  • Payment terms and schedules are defined in each project agreement
  • Invoices are payable within the timeframe specified in the agreement (typically 15-30 days)
  • Late payments may incur a fee of 1.5% per month on outstanding amounts
  • We reserve the right to pause or suspend work on a project if payments are overdue
  • All prices are exclusive of applicable taxes unless stated otherwise

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of engagement. This includes business plans, technical specifications, source code, customer data, and financial information. Confidentiality obligations survive the termination of the engagement for a period of 3 years.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • BS SOFTTECH SOLUTION shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services
  • Our total liability for any claim shall not exceed the total amount paid by you for the specific service giving rise to the claim
  • We are not responsible for any loss of data, revenue, profits, or business opportunities
  • We do not guarantee uninterrupted, error-free operation of our website

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.
